二、 招标项目内容：

 ******有限公司因资金需求，拟向有关部门申请发行金额为人民币10亿元公司债券、期限不超过5年（含），现通过本项目委托一家企业担任本项目主承销商（具体发行额度以实际发行金额为准）。主承销商应提供债券相关发行的承销服务，具体为采购人提供切实可行的公司债券的发行方案；负责协调组织律师、会计师等所有中介机构，形成债券发行团队，统筹协调所有中介机构的各项工作，负责债券的申报及报批等相关工作；负责资金募集，和发行后服务。（具体内容详见第三章服务需求书）
Shanghai Lingang New Area Investment Holding (Group) Co., Ltd. due to capital requirements, intends to apply to relevant authorities for the issuance of RMB 1 billion corporate bonds with a term of no more than 5 years (inclusive). Now, through this project, it entrusts an enterprise to act as the lead underwriter of this project (the specific issuance amount is subject to the actual issuance amount). The lead underwriter should provide underwriting services related to the bond issuance, specifically providing the purchaser with a feasible issuance plan for corporate bonds; responsible for coordinating and organizing lawyers, accountants and all other intermediary agencies to form a bond issuance team, coordinating the work of all intermediary agencies, and being responsible for the application and approval of the bond issuance and other related work; responsible for raising funds and providing post-issuance services. (For specific details, please refer to Chapter 3 of the Service Requirements Document) 

三、 投标人资格

 1.满足《中华人民共和国政府采购法》第二十二条规定；
2.落实政府采购政策需满足的资格要求：（1）扶持中小企业政策：本项目不是专门面向中小企业采购，评审时小型和微型企业产品享受10%的价格折扣；（2）扶持残疾人福利性单位，并将其视同小微型企业。
3.本项目的特定资格要求：
（1）符合《中华人民共和国政府采购法》第二十二条的规定；
（2）未被“信用中国”（******）、中国政府采购网（******）列入失信被执行人、重大税收违法失信主体、政府采购严重违法失信行为记录名单；
（3）须系我国境内依法设立的法人或非法人组织；
（4）投标人须具备《中华人民共和国经营证券期货业务许可证》；
（5）本项目不允许转包。
1. Meet the requirements stipulated in Article 22 of the Government Procurement Law of the People's Republic of China.
2. Qualification requirements for implementing government procurement policies: (1) Support for small and medium-sized enterprises: This project is not specifically targeted at small and medium-sized enterprises. During the evaluation, products from small and micro enterprises will enjoy a 10% price discount; (2) Support for welfare units for the disabled, and treat them as small and micro enterprises.
3. Specific qualification requirements for this project:
(1) Comply with the provisions of Article 22 of the Government Procurement Law of the People's Republic of China.
(2) Not be listed as a dishonest executive, a major tax violation entity, or a serious violator of government procurement laws on "Credit China" (******) or the China Government Procurement Network (******).
(3) Must be a legal person or non-legal person organization established in accordance with the laws of the People's Republic of China.
(4) The bidder must hold a "License for Operating Securities and Futures Business of the People's Republic of China".
(5) Subcontracting is not allowed for this project.
